| 1.

Bardeen Business Consulting (BBC) will provide Client with the following services: |

A. |
3 Business Development Meetings by telephone each month to provide consultation to produce specific results in accordance with Client's Business Development Program. |
|
B. |
A Manager of Business Development Services acting with Client to assist Client in the development of an organized, productive, profitable and entrepreneurial business. |
|
C. |
Hotline Support Services as requested between the hours of 8:00 AM and 5:00 PM, with 24-hour call return. |
|
D. |
Periodic Financial Analysis. |
|
|
|
| 2. |
Client
will provide Bardeen Business Consulting with: |
| |
A. |
A one time set-up fee plus the first month's payment payable to Thomas O. Bardeen upon the execution of this Agreement. Thereafter, monthly payments payable to Thomas O. Bardeen and due at Thomas O. Bardeen's offices no later than the 1st day of each month. |

B. |
Financial data, as requested by BBC, to assist in evaluating the Client's current financial status and to provide for the preparation of short term and long term projections for Client's use. |
| |
C. |
Business operational and performance data, as requested by BBC, to assist Client in evaluating and measuring the Client's current performance status. |

| General
Conditions |
| 1.
|
Client agrees that all Standard Processes, analyses and Program materials provided Client are the sole property of Bardeen Business Consulting (BBC) and will not be made available to any party, outside the Client's business, for any purpose. |
|
| 2.
|
Client acknowledges that BBC's services are advisory and supportive only and that Client bears sole responsibility for the use and implementation of these services in Client's business. Client also agrees to forever indemnify and hold harmless BBC from and against any loss, cost or expense whatsoever resulting from the activities of Client and related to the subject matter herein. |

| 3.

Client or BBC may elect to terminate this Agreement at any time with a thirty (30) day written notice to the other. Client's termination date will be construed as occurring thirty (30) days subsequent to the date Client's next payment is due, following the date BBC receives written notice of termination by Client. |

| 4.
|
If Client fails to make payment to BBC pursuant to this Agreement, BBC shall be entitled to interrupt all its obligations under the terms of this Agreement until Client's account becomes current. If such an interruption occurs, Client shall not be absolved of the obligation to make payment to BBC pursuant to this Agreement. |
|
| 5.
|
Client agrees that the transmission of this Subscription Agreement to Bardeen Business Consulting shall have the same effect as his/her signature, and shall constitute the "signing" of the document. |
|
| 6.
|
This Agreement contains the entire agreement between the parties hereto, all prior agreements, promises or representations being merged herein. |
